What is an Invoice?
An invoice is a commercial document issued by a seller to a buyer, relating to a sale transaction and indicating the products, quantities, and agreed prices for products or services the seller had provided the buyer.
Payment terms are usually stated on the invoice. These may specify that the buyer has a maximum number of days in which to pay and is sometimes offered a discount if paid before the due date.
The Purpose of an Invoice
Invoices serve several critical functions for a business:
- Getting Paid: It is the formal request for payment from your client.
- Record Keeping: They provide a record of sales which is essential for accounting and bookkeeping.
- Tax Purposes: Governments require businesses to keep copies of invoices to verify revenue for taxation purposes (like GST).
- Legal Protection: An invoice serves as proof of a transaction and an agreement between two parties, which can protect you in case of a dispute.
Invoice vs. Bill vs. Receipt
| Document | Definition | Timing |
|---|---|---|
| Invoice | A request for payment issued by a business to a client. | Before payment is made. |
| Bill | A request for payment received by a customer. | Before payment is made. |
| Receipt | A proof of payment issued by the seller to the buyer. | After payment is made. |
Note: "Invoice" and "Bill" often refer to the same document, just viewed from different perspectives. You send an invoice to a customer, and they receive it as a bill to pay.

To be professional and legally compliant, every invoice should contain the following elements:
- Header: The word "Invoice" clearly stated.
- Business Details: Your business name, logo, address, email, phone number, and tax ID (like GSTIN).

Common Types of Invoices
- Standard Invoice: The most common type, issued to request payment for goods or services.
- Tax Invoice: An invoice that includes tax details (like GST). It allows registered buyers to claim Input Tax Credit (ITC).
- Proforma Invoice: A preliminary bill of sale sent to buyers in advance of a shipment or delivery of goods. It acts as an estimate.
- Credit Note (Credit Memo): Issued by a seller to a buyer, reducing the amount the buyer owes (e.g., in case of returned goods or a mistake on the original invoice).
- Recurring Invoice: Invoices that are sent out at regular intervals (monthly, yearly) for ongoing services like subscriptions.
When Must Businesses Issue Invoices?
Generally, an invoice should be issued as soon as a product is delivered or a service is completed. For goods under GST in India, a tax invoice must be issued at the time of removal of goods. For services, it must be issued within 30 days of the provision of the service.
